1. Who we are & scope

The service VINCHY - MAAM ("VINCHY", the "Service"), reachable at vinchy.ai, is operated by SIGOO GmbH, Ernst-Reuter-Straße 70, 65428 Rüsselsheim am Main, Germany (see the Legal Notice). By creating an account or using the Service you agree to these Terms.

2. The Service — open beta

VINCHY is a control layer for AI agents: you register agents, define what they may do, approve risky actions, and receive a tamper-evident audit trail. The Service is currently offered as an open beta: features may change, be paused or removed, and availability is not guaranteed. We may impose fair-use and rate limits.

3. Your account

You must provide accurate information, keep your credentials safe, and be at least 18 years old (or the age of legal majority where you live). You are responsible for activity under your account. Business accounts additionally accept the Data Processing Agreement presented at signup.

4. Intellectual property

The Service — including its software, design, interface, text, graphics, logos, documentation and the names and marks "VINCHY", "VINCHY - MAAM", "VINCHY Astro" and "DreamSoft AI Studio" — belongs to the respective rightsholder and is protected by copyright and other intellectual-property laws, regardless of the status of any registration. SIGOO GmbH operates the Service (see section 1) under the rights granted to it; operating the Service does not transfer ownership of it. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not:

• copy, modify, distribute, sell, or lease any part of the Service or its content;
• reverse-engineer, decompile, or attempt to extract the source code of the Service, except where such a restriction is prohibited by law;
• scrape the Service or use its content or outputs to develop or train a competing product or an AI model;
• use our names, logos or marks without our prior written consent;
• remove or alter proprietary notices.

Your content stays yours. Agent specifications, data and content you enter remain your property; you grant us the license needed to store and process them solely to operate the Service. If you send us feedback or suggestions, we may use them to improve the Service without obligation to you.

5. Acceptable use

You may use the Service only for lawful purposes. In particular you agree not to:

• use VINCHY or its agents to plan, coordinate or promote illegal activity — including activities involving substances or conduct that are illegal in the jurisdiction where they would take place;
• infringe the rights of others, distribute malware, or attempt to bypass security, approval gates, or usage limits;
• misrepresent AI output as human where the law requires disclosure.

We may suspend or terminate accounts that violate this section.

6. AI outputs & human oversight

VINCHY uses AI models. AI output can be incorrect, incomplete or unsuitable — you must review it before relying on it, and it is not legal, financial, medical or other professional advice. Agents registered in VINCHY act in the real world only through tools you connect and operate; you remain the deployer of your agents and responsible for their real-world actions and for compliance with the laws that apply to you (including, where applicable, the EU AI Act).

7. Audit trail & data

Agent actions are recorded in a tamper-evident audit trail (retained for at least 6 months for Business projects, in line with EU AI Act Art. 26(6) expectations). How we handle personal data is described in the Privacy Policy.

8. Warranty & liability

The Service is provided "as is" and "as available", without warranty of any kind, to the extent permitted by law. We are liable without limitation for intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit) and for injury to life, body or health. For slight negligence we are liable only for the breach of essential contractual duties (Kardinalpflichten), limited to the foreseeable damage typical for this type of contract. Any further liability is excluded. Mandatory statutory liability (including under the German Product Liability Act) remains unaffected.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these Terms, with notice where reasonably possible. Sections 4, 8 and 11 survive termination.

10. Changes to these Terms

We may update these Terms as the Service evolves. For material changes we will give notice in the app or by email; continued use after the effective date constitutes acceptance.

11. Governing law & venue

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive venue is the registered seat of SIGOO GmbH. Mandatory consumer-protection rules of your country of residence remain unaffected.

12. Final provisions

If any provision of these Terms is or becomes invalid, the remaining provisions stay in effect. Contact: hallo@sigoo.de.

Der Dienst VINCHY - MAAM („VINCHY", der „Dienst"), erreichbar unter vinchy.ai, wird betrieben von der SIGOO GmbH, Ernst-Reuter-Straße 70, 65428 Rüsselsheim am Main, Deutschland (siehe Impressum). Mit der Registrierung oder Nutzung des Dienstes akzeptierst du diese Bedingungen.

2. Der Dienst — Open Beta

VINCHY ist eine Kontrollebene für KI-Agenten: Du registrierst Agenten, legst fest, was sie dürfen, gibst riskante Aktionen frei und erhältst ein manipulationssicheres Audit-Protokoll. Der Dienst befindet sich in einer offenen Beta: Funktionen können sich ändern, pausiert oder entfernt werden; eine Verfügbarkeit wird nicht garantiert. Wir können Fair-Use- und Ratenbegrenzungen anwenden.

3. Dein Konto

Du musst zutreffende Angaben machen, deine Zugangsdaten schützen und mindestens 18 Jahre alt (bzw. volljährig) sein. Du bist für Aktivitäten unter deinem Konto verantwortlich. Business-Konten akzeptieren zusätzlich die bei der Registrierung angezeigte Auftragsverarbeitungsvereinbarung (AVV).

4. Geistiges Eigentum

Der Dienst — einschließlich Software, Design, Oberfläche, Texten, Grafiken, Logos, Dokumentation sowie der Namen und Zeichen „VINCHY", „VINCHY - MAAM", „VINCHY Astro" und „DreamSoft AI Studio" — steht dem jeweiligen Rechteinhaber zu und ist urheberrechtlich sowie durch weitere Schutzrechte geschützt, unabhängig vom Stand etwaiger Registrierungen. Die SIGOO GmbH betreibt den Dienst (siehe Ziffer 1) auf Grundlage der ihr eingeräumten Rechte; der Betrieb des Dienstes überträgt kein Eigentum daran. Wir räumen dir eine beschränkte, nicht ausschließliche, nicht übertragbare, widerrufliche Lizenz zur bestimmungsgemäßen Nutzung des Dienstes ein. Untersagt ist insbesondere:

• das Kopieren, Verändern, Verbreiten, Verkaufen oder Vermieten von Teilen des Dienstes oder seiner Inhalte;
• Reverse Engineering, Dekompilierung oder der Versuch, den Quellcode zu extrahieren, soweit gesetzlich nicht ausnahmsweise erlaubt;
• das Scrapen des Dienstes oder die Nutzung seiner Inhalte/Ausgaben zur Entwicklung oder zum Training eines konkurrierenden Produkts oder KI-Modells;
• die Nutzung unserer Namen, Logos oder Zeichen ohne vorherige schriftliche Zustimmung;
• das Entfernen oder Verändern von Schutzrechtsvermerken.

Deine Inhalte bleiben deine. Agenten-Spezifikationen, Daten und Inhalte, die du eingibst, bleiben dein Eigentum; du räumst uns die zur Speicherung und Verarbeitung erforderliche Lizenz ausschließlich zum Betrieb des Dienstes ein. Feedback und Vorschläge dürfen wir ohne Verpflichtung dir gegenüber zur Verbesserung des Dienstes nutzen.

5. Zulässige Nutzung

Der Dienst darf nur für rechtmäßige Zwecke genutzt werden. Insbesondere verpflichtest du dich, nicht:

• VINCHY oder seine Agenten zur Planung, Koordination oder Förderung illegaler Aktivitäten zu nutzen — einschließlich Aktivitäten mit Substanzen oder Verhaltensweisen, die dort illegal sind, wo sie stattfinden würden;
• Rechte Dritter zu verletzen, Schadsoftware zu verbreiten oder Sicherheitsmechanismen, Freigabe-Gates oder Nutzungsgrenzen zu umgehen;
• KI-Ausgaben als menschlich auszugeben, wo das Gesetz eine Kennzeichnung verlangt.

Bei Verstößen können wir Konten sperren oder kündigen.

6. KI-Ausgaben & menschliche Aufsicht

VINCHY nutzt KI-Modelle. KI-Ausgaben können falsch, unvollständig oder ungeeignet sein — prüfe sie, bevor du dich darauf verlässt; sie sind keine Rechts-, Finanz-, Medizin- oder sonstige Fachberatung. In VINCHY registrierte Agenten handeln in der realen Welt nur über Werkzeuge, die du verbindest und betreibst; du bleibst Betreiber (Deployer) deiner Agenten und für deren reale Handlungen sowie die Einhaltung des für dich geltenden Rechts (ggf. einschließlich der EU-KI-Verordnung) verantwortlich.

7. Audit-Protokoll & Daten

Agenten-Aktionen werden in einem manipulationssicheren Audit-Protokoll aufgezeichnet (für Business-Projekte mindestens 6 Monate aufbewahrt, angelehnt an Art. 26 Abs. 6 der EU-KI-Verordnung). Zum Umgang mit personenbezogenen Daten siehe die Datenschutzerklärung.

8. Gewährleistung & Haftung

Der Dienst wird, soweit gesetzlich zulässig, „wie besehen" und „wie verfügbar" bereitgestellt. Wir haften unbeschränkt bei Vorsatz und grober Fahrlässigkeit sowie bei Verletzung von Leben, Körper oder Gesundheit. Bei leichter Fahrlässigkeit haften wir nur für die Verletzung wesentlicher Vertragspflichten (Kardinalpflichten), begrenzt auf den vertragstypischen, vorhersehbaren Schaden. Eine weitergehende Haftung ist ausgeschlossen. Zwingende gesetzliche Haftung (einschließlich nach dem Produkthaftungsgesetz) bleibt unberührt.

9. Laufzeit & Kündigung

Du kannst die Nutzung jederzeit beenden und dein Konto löschen. Wir können den Zugang bei Verstößen gegen diese Bedingungen sperren oder kündigen, nach Möglichkeit mit vorheriger Ankündigung. Die Ziffern 4, 8 und 11 gelten fort.

10. Änderungen dieser Bedingungen

Wir können diese Bedingungen anpassen, wenn sich der Dienst weiterentwickelt. Über wesentliche Änderungen informieren wir in der App oder per E-Mail; die weitere Nutzung nach dem Stichtag gilt als Zustimmung.

11. Anwendbares Recht & Gerichtsstand

Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des Kollisionsrechts und des UN-Kaufrechts. Ist der Nutzer Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, ist ausschließlicher Gerichtsstand der Sitz der SIGOO GmbH. Zwingende Verbraucherschutzvorschriften deines Wohnsitzlandes bleiben unberührt.

12. Schlussbestimmungen

Sollte eine Bestimmung unwirksam sein oder werden, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt. Kontakt: hallo@sigoo.de.
